Jenner Platform Terms

1. Introduction

These Jenner Platform Terms ("Terms") govern your access to and use of the Jenner Analytics platform, services, and applications (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Acceptance of Terms

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms. This is a binding legal agreement between you and Jenner Analytics Ltd.

4. License Grant and Proprietary Rights

Jenner Analytics grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your intended purposes. All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, and software, are the exclusive property of Jenner Analytics Ltd. and are protected by copyright, trademark, and other intellectual property laws.

Unauthorized reproduction, modification, distribution, or commercial use of any Platform content is strictly prohibited without prior written permission from Jenner Analytics Ltd.

5. Downloadable Software, License Keys, and Redistribution

Parts of the Platform are delivered to you as software that you download and run on your own computers — installers, executables, packages, disk images, container images, updates, and the accompanying documentation (together, the "Software") — together with any license key or license file issued to activate it (the "License Key"). The Software and any License Key are licensed to you, not sold, and remain the property of Jenner Analytics Ltd.

We offer the Software in separate editions for separate operating systems, including macOS, Windows, and Linux, and each operating-system edition is a separate product with its own fee. A license covers one operating-system edition only: the one you purchased, or the one your License Key names. It does not extend to any other operating system, whether or not we offer the Software there, whether or not that edition is generally available yet, and whether or not the same License Key would technically activate it. To use the Software on a second operating system you must purchase a license for that edition separately.

Subject to these Terms and to payment of any applicable fees, Jenner Analytics Ltd. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the licensed edition of the Software, on computers running that operating system that you or your organization own or control, for your own internal business, evaluation, research, or educational purposes.

Where a License Key has been issued to you, your license covers the edition, the operating system, and the term that key states. Some editions — a free or trial edition among them — are offered without a License Key at all; for those, your license covers that edition on the operating system you downloaded it for, for as long as we continue to offer it, and is bounded by whatever usage limits that edition applies rather than by an expiry date. An edition that needs no License Key is licensed, not unlicensed: everything in this section applies to it in full, including the restrictions below.

You may not, and may not permit or enable anyone else to:

  • Redistribute, publish, upload, mirror, host, post, share, transmit, lend, rent, lease, sell, resell, or otherwise make the Software available to any third party, whether modified or unmodified, and whether or not for a fee
  • Distribute the Software to any third party as part of, or bundled with, any other product, service, appliance, disk image, virtual machine image, or container image
  • Give any third party access to the Software as a hosted, managed, time-shared, outsourced, or service-bureau offering
  • Share, publish, transfer, sell, or otherwise disclose your License Key to anyone outside your organization, or use a License Key that was issued to someone else
  • Install or use the Software on an operating system other than the one your license covers, or use a License Key to activate an edition it was not issued for
  • Circumvent, disable, or tamper with any licensing, activation, entitlement, or usage-limitation mechanism in the Software, or use the Software beyond the edition, operating system, term, usage limit, or scope your license permits
  • Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, file formats, protocols, models, or internal workings of the Software, except to the extent that applicable law expressly permits this notwithstanding this restriction, and then only after you have asked us in writing for the information you need and we have not made it available to you within a reasonable time
  • Modify, translate, adapt, or create derivative works of the Software, or merge it into other software
  • Use the Software, or any knowledge of how it works gained from using it, for competitive analysis or benchmarking, for model training, or to develop, train, test, calibrate, or improve any product, service, or model that competes with the Platform, or publish or disclose to any third party the results of any benchmark or performance test of the Software, in each case without the prior written consent of Jenner Analytics Ltd.
  • Remove, obscure, or alter any copyright, trademark, licensing, or other proprietary notice carried in or with the Software

The Software is part of the Platform, and Section 7 (Authorized Use and Access Restrictions) applies to it in full. No license under this section is granted to, and the Software may not be downloaded, installed, or used by, anyone who is not an authorized user under Section 7 — including a competitor or prospective competitor of Jenner Analytics Ltd., or anyone acting on behalf of, at the request of, or for the benefit of any competitor, prospective competitor, litigant, investigator, law firm, expert, consultant, or other adverse party to Jenner Analytics Ltd. — or for any purpose Section 7 restricts, unless Jenner Analytics Ltd. has expressly authorized that access in writing. By downloading or activating the Software you repeat the representations and warranties you gave under Section 7 as at the date of that download or activation.

Access to the Software is limited to people who have registered a Jenner account and accepted these Terms. If a download link, update channel, or storage location is nevertheless reachable without signing in — whether in error, during a transition, or because someone has placed a copy elsewhere — that reachability does not place the Software in the public domain, make it free of charge, or give anyone a right to copy or redistribute it. The license, not the link, determines who may install and use the Software.

The Software may include third-party components supplied under their own open-source licenses. Those licenses govern those components, and nothing in this section limits any right they grant you in respect of them. The restrictions above apply to the Jenner Software as a whole and to every part of it that is not supplied under such a license.

Jenner software for macOS that you obtain directly from Jenner Analytics Ltd. — an installer, package, or disk image downloaded from our website, or delivered through our update channel — is Software under this section, governed by these Terms on the same footing as the Windows and Linux editions, and is licensed as the macOS edition only.

Only the Jenner application obtained through the Apple App Store is licensed instead under the separate end user license agreement published on the Mac App Terms page. Where that agreement and this section conflict in respect of that application, that agreement governs. A purchase through the App Store does not license any other edition of the Software, and a license for another edition does not license the App Store application.

Your rights under this section end when your license term expires, when we stop offering an edition you hold without a License Key, or when these Terms terminate, and Jenner Analytics Ltd. may end them if you breach this section. On termination you must stop using the Software and delete or destroy every copy in your possession or control, except any copy you are required by law to retain.

6. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Immediately notify Jenner Analytics of any unauthorized use of your account
  • Not allow anyone under 18 years of age to create an account
  • Not share your account credentials with others

7. Authorized Use and Access Restrictions

Access to the Platform is authorized only for lawful internal business use by approved users. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

You are not an authorized user, and may not access or use the Platform, if you are:

  • (a) a competitor or prospective competitor of Jenner Analytics Ltd.;
  • (b) acting on behalf of, at the request of, or for the benefit of any competitor, prospective competitor, litigant, investigator, law firm, expert, consultant, or other adverse party to Jenner Analytics Ltd.; or
  • (c) accessing the Platform for competitive analysis, benchmarking, model training, reverse engineering, litigation support, claim development, evidentiary collection, investigation adverse to Jenner Analytics Ltd., or development of a competing product or service,

in each case without Jenner Analytics Ltd.'s prior written consent.

By creating an account, you represent and warrant that you are not accessing the Platform on behalf of, or for the benefit of, any competitor or adverse party, and not for competitive analysis, reverse engineering, benchmarking, investigation, evidentiary collection, or litigation support adverse to Jenner Analytics Ltd., unless Jenner Analytics Ltd. has expressly authorized that access in writing.

You further agree not to:

  • Use the Platform in any way that violates applicable laws or regulations
  • Engage in conduct that is harmful, fraudulent, deceptive, or offensive
  • Attempt to gain unauthorized access to the Platform or related systems
  • Interfere with or disrupt the integrity or performance of the Platform
  • Use automated systems to access the Platform without permission

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. JENNER ANALYTICS LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JENNER ANALYTICS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jenner Analytics Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Platform or violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
